Terms of service

1. What ProtPTX is
ProtPTX is documentation and workflow software. It helps you organize a compliance program, generate configurable documentation, track required actions, and collaborate with your advisors.
2. What ProtPTX is not
ProtPTX is not a law firm, an accounting firm, a managed security service provider, or an auditor. Nothing produced by the software or published on this site is legal advice, tax advice, an audit opinion, or a certification of compliance. No outcome with any regulator, court, insurer, or counterparty is promised or guaranteed.
3. You remain the responsible party
Your firm is the professional of record for its own information security program. You are responsible for the accuracy of the information you enter, for reviewing generated documents before adopting them, for the controls you actually implement, and for every attestation you sign. Generated documents are drafts for your review, not finished legal instruments.
4. Regulatory citations
Citations are provided so you and your advisors can read the source text. Laws and regulations are amended. We work to keep the clause library current but we do not warrant that every citation reflects the law in force at the moment you read it. Confirm anything you are relying on.
5. Your data
You own what you put in and what the product generates for you. You can export it in Word and PDF at any time, including after cancellation. See the privacy notice and our security program.
6. Subscriptions, renewal, and cancellation
- Subscriptions are priced per firm and renew for the stated term.
- For any term longer than 31 days, we send written notice of renewal terms in advance of the deadline.
- Cancellation is available in the same place you signed up, and is at least as easy to access and use as enrollment.
- Setup fees cover work already performed and are not refundable once the first document set has been delivered.
7. Taxes
Software as a service is subject to Massachusetts sales tax under 830 CMR 64H.1.3 at the state rate. Separately stated professional services are treated differently. Invoices state each component separately. Your own tax position is yours to confirm.
8. Acceptable use
Do not upload client tax returns, source documents, Social Security numbers, or financial account numbers. The service is not designed to hold them. Do not use the service to misrepresent your compliance position to any third party.
9. Availability and support
We aim for continuous availability and will publish planned maintenance in advance. Support is by email during business hours, with priority response during renewal season for plans that include it.
10. Limitation of liability
To be completed with counsel. Any limitation will be stated plainly rather than buried, and will not purport to exclude liability that cannot lawfully be excluded.

12. Changes to these terms
Material changes will be posted on this page and sent to customers by email before they take effect.
